Here's the simple version: cocoa naturally contains a little caffeine, and that caffeine is a mild stimulant. The decongestant part of this product, pseudoephedrine, is also a stimulant. So when you pair them, you may stack one mild jolt on top of another. In real life that could mean feeling jittery, a racing or pounding heart, trouble sleeping, or a bit more rise in blood pressure.

To be honest, this is mostly theory and expert caution, not strong proof, and a normal cup of cocoa or a square of chocolate is unlikely to cause trouble for most people. Concentrated cocoa supplements are a bigger question mark. If you have heart issues or high blood pressure, or you notice your heart racing, please check with your pharmacist or doctor.
